Terms of service

Foley is made by Hanamori Labs, LLC. These are the terms for using the app, the website and the Foley service. They are written to be read, and they say what each of us is responsible for. If anything here is unclear, ask at hello@foleyapp.com.

What these terms cover

"Foley" means the Mac app, the Windows app, the phone app, the web app at my.foleyapp.com and this website. "The service" means the parts we run for you: signing in, sync and sharing, the AI that turns your words into tasks, the Foley plugin for ChatGPT, and billing. "We" and "us" mean Hanamori Labs, LLC. "You" means the person using Foley.

By installing Foley, creating an account, or using the service, you agree to these terms. If you do not agree, do not use Foley. You must be at least 18, or old enough to enter a contract where you live, to create an account or start a subscription.

The app is yours to use

We give you a personal, non-transferable licence to install and use Foley on devices you own or control, for your own use. The app and the service, including their design, code and the Foley name and wordmark, belong to us. You may not copy, sell, rent or sublicense them, reverse engineer the app except where the law allows it, or remove any notice of ownership.

The app itself is free. What you pay for, if you pay for anything, is the AI listening to you and the service that keeps your list the same on every device. Nothing on this page limits what you can do with the app on one machine, offline, with your own AI key.

Your data stays yours

Everything you put into Foley - your tasks, projects, notes, dates, recordings and attachments - is yours. You keep every right to it. So that the service can work, you give us permission to store, copy and transmit it, but only as far as that takes: syncing it between your devices, showing it to the people you share a project with, and sending what you said to the AI so it can file your tasks, and exchanging requested data with ChatGPT when you connect the Foley plugin. We do not use your content for anything else, and we do not train any model on it. The privacy page says exactly what leaves your machine and when.

On a Mac, your data is a file on your own computer and it is there whether or not you ever sign in. If you stop using the service, that file stays exactly as it was.

Your account

Signing in uses a Google Firebase account. Keep it to yourself: whatever is done with your account is done by you, including anything a coding agent or another tool does on your behalf after you connect it. Tell us at once if you think someone else has got in.

You can delete your account at any time from Settings in the phone app, or by emailing us. The deletion page says what goes and what stays. Deleting your account ends any subscription bought on this website; a subscription bought through the App Store or Google Play is cancelled from that store.

The AI can be wrong

Foley turns what you say into actions on your list: creating, changing, moving, completing and deleting tasks, setting reminders, planning your day. It does this with an AI model, and AI models make mistakes. Foley shows you what it did and asks when it is unsure, and most of what it does can be undone, but you are responsible for checking the result. Do not rely on Foley alone for anything where a missed or wrong task would cause real harm.

If you use your own AI key, the requests go from your device straight to your provider under your agreement with them, and their terms and charges apply. We never see that key.

Plans and payment

Free. The app is free. For seven days from your first launch, voice and AI are on us, with everything a subscriber gets. After that, the free plan gives you 50 voice captures a month on a lighter model, or you can add your own AI key and voice keeps working without limit and without paying us.

Subscription. A Foley subscription is $8 a month or $72 a year on this website, paid through Stripe, or the price shown in the App Store or Google Play if you subscribe on the phone. It covers the AI, sync on every device you use, and sharing projects with other people. Tax is added at checkout where it applies.

A subscription renews automatically at the end of each period until you cancel it. Cancel any time from your account page, or from your device's subscription settings if you bought it in a store. You keep what you paid for until the end of the period, and nothing is charged after that. We do not refund part of a period you have already paid for, except where the law gives you that right. A refund for a purchase made through the App Store or Google Play is decided by Apple or Google under their rules, not by us.

If a price changes, we tell you before it applies to your next renewal, and you can cancel before then. If a payment fails, the service tells you and asks for a new payment method; the subscription stays alive while the store retries.

Fair use. A subscription covers a generous but finite amount of AI use each month, measured by what the AI actually costs rather than by counting requests. Settings shows how much of the month you have used and warns you before the ceiling. When it is reached, AI features pause until the month turns over; everything else keeps working, and your own key is never limited by us.

Sync and sharing

Nothing syncs or is shared until you sign in and share a specific project. When you share one, everyone you invite can see and change everything in it, and their changes reach your devices the same way yours reach theirs. You are responsible for who you invite and for what you put in a shared project. Leaving a project, or stopping sharing it, removes it from the service for you; what other members keep is described on the privacy page.

The service keeps the shared copy in sync on a best-effort basis. Your devices each keep their own copy, so a problem with the service delays a change rather than losing it, but we cannot promise that every change reaches every device at every moment.

What you may not do

  • Use Foley for anything illegal, or to store or share content you have no right to.
  • Harass, deceive or harm other people, including the people you share projects with.
  • Interfere with the service: flooding it with requests, probing or attacking it, or working around a limit it applies.
  • Use the AI features to produce material that is abusive, or to get around your AI provider's rules.
  • Share your account, sell access to it, or use a subscription for more than one person.
  • Copy the app or the service to make a competing product.

If you do any of this we may suspend or end your account. We will tell you why, and where we can we will warn you first.

Other services you connect

Foley can put entries in your Google Calendar, send messages to Slack, and let a coding agent read and add to your list. Each is off until you connect it, and the connected service's own terms also apply. Signing in, payments and the AI are provided with the help of Google Firebase, Stripe, Apple, Google, Cloudflare and OpenRouter, each under its own terms; the privacy page names which one receives what.

The Foley plugin for ChatGPT is provided by Hanamori Labs, LLC and is covered by these terms. A free Foley account can use it; no paid Foley subscription is required. You also need access to ChatGPT's plugin feature under OpenAI's own availability and terms. Signing in does not by itself grant access: review and approve the Foley account and permissions shown on the consent page.

Read permission lets ChatGPT retrieve the project and task data described in the privacy policy. Optional write permission lets it create projects and tasks, edit or complete tasks, and add comments, within your existing project permissions. Check requested actions and their results; changes to shared projects can affect other members.

Optional offline access lasts at most 30 days per grant; access tokens last five minutes. Revoke access through Foley's connections page. Revocation can take time to propagate and is not guaranteed to stop access instantly. It does not reverse completed changes or remove data already received by ChatGPT.

Changes to Foley

Foley is young and it changes often. We may add, change or remove features, and we may stop offering the service. If we stop something you pay for, we tell you in advance and refund the part of the period you have not used. Your data on your own devices is unaffected by any of this: it is a file on your machine, and it stays there.

No warranty, and a limit on what we owe

Foley is provided as it is. We work hard to make it reliable, but we do not promise that it will be free of errors or interruptions, that the AI will always understand you, or that it fits any particular purpose. To the extent the law allows, we exclude every warranty not written on this page.

To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, or lost data, and our total liability to you for anything arising from Foley or these terms is limited to the amount you paid us in the twelve months before the claim, or $50 if you paid us nothing. Nothing in these terms limits liability that cannot be limited by law, and nothing takes away rights you have as a consumer where you live.

The law that applies

These terms are governed by the law of the State of Delaware, United States, and any dispute about them goes to the courts there, unless the consumer law where you live says otherwise, in which case that law applies and you may bring a claim at home. Before either of us goes to court, we agree to try to sort it out by email first.

Changes to these terms

When these terms change, the date at the top changes with them. For a change that matters to you - to what you pay, or to what we may do with your content - we tell you in the app or by email before it takes effect. Using Foley after a change means you accept it; if you do not, stop using the service and delete your account.
